Profile Bakery

This Affiliate Program Agreement (“Agreement”) is entered into by and between Profile Bakery, operated by Mamendo GmbH, with a principal place of business inMaur, Switzerland (“Company”, “we”, “us”, or “our”), and the individual or entity applying to participate in the Profile Bakery Affiliate Program (“Affiliate”, “you”, or “your”).

By joining our Affiliate Program, you agree to comply with the terms and conditions outlined in this Agreement.

1. Enrollment and Eligibility

1.1. Application Review
We reserve the right to accept or reject any Affiliate application at our sole discretion, with or without explanation.

1.2. Minimum Requirements
You must be at least 18 years of age and capable of entering into legally binding agreements under applicable law.

1.3. One Account Policy
Each individual or entity may hold only one active affiliate account unless we have provided express written consent otherwise.

1.4. Self-Referrals Prohibited
You are not permitted to use your own affiliate link to make purchases from Profile Bakery. Any commissions generated through self-referral will be forfeited.

2. Affiliate Obligations and Prohibited Conduct

2.1. Brand Integrity
You may not:

• Use Profile Bakery’s trademarks, brand name, or domain names in paid search campaigns, including but not limited to Google Ads, Bing Ads, or Facebook Ads.

• Engage in media buying strategies that result in competing with our paid marketing or that cause confusion for prospective customers.

2.2. No Misrepresentation
You may not falsely represent yourself as Profile Bakery, claim employment or partnership beyond the scope of this affiliate relationship, or impersonate Company personnel.

2.3. Fraudulent Activity
The following are strictly prohibited:

• Using fake identities or email addresses to generate affiliate activity.

• Publishing unauthorized coupons or discounts.

• Any form of spamming, cookie stuffing, or similar deceptive practices.

Violation of these policies will result in immediate termination and forfeiture of any pending commissions.

3. Commission Structure and Payouts

3.1. Tracking and Attribution
Affiliate referrals are tracked via cookies. It is your responsibility to ensure your referral links are implemented correctly. We are not responsible for tracking failures resulting from browser settings, user behavior, or technical issues beyond our control.

3.2. Payout Terms

• Commissions are paid on request, when the minimum payout threshold of 100$ is met.

• Payments are issued via Bank transfer.

• Commissions are subject to a 60–day holding period to allow for refunds or chargebacks.

3.3. Taxes and Compliance
Affiliates are solely responsible for reporting and remitting any taxes associated with their commissions, as required by local laws.

4. Relationship with Paid Collaborations

If you are party to a separate paid sponsorship, influencer contract, or other compensated collaboration with Profile Bakery, you are not eligible to receive affiliate commissions for the same content or activities covered by that arrangement. Combining or converting paid partnerships into affiliate earnings is not permitted unless explicitly approved in writing.

5. Termination and Modification

5.1. Termination by Either Party
Either party may terminate this Agreement at any time, with or without cause, by providing written notice. Upon termination, all licenses and rights granted to you under this Agreement shall immediately terminate.

5.2. Termination for Cause
We reserve the right to suspend or terminate your account immediately if we determine, at our sole discretion, that you have violated any terms of this Agreement.

5.3. Modification of Terms
We may modify these Terms at any time. You will be notified via email or your affiliate dashboard. Continued participation in the program constitutes acceptance of the modified terms.

6. Limitation of Liability

To the maximum extent permitted by law, Profile Bakery shall not be liable for any indirect, incidental, special, or consequential damages (including loss of revenue or data) arising from your participation in the Affiliate Program, even if we were advised of the possibility of such damages.

7. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of Switzerland. Any disputes arising from or relating to this Agreement shall be resolved exclusively by the competent courts of Zurich, Switzerland.

8. Independent Contractor

You acknowledge that you are an independent contractor and nothing in this Agreement shall create any employment, partnership, joint venture, agency, or franchise relationship between you and Profile Bakery.

9. Confidentiality

You agree not to disclose any confidential information shared by Profile Bakery, including but not limited to customer data, internal strategies, or unpublished marketing materials.
